Corporate governance in Adelphia Communications Corp., US Term Paper

Corporate governance in Adelphia Communications Corp., US - Term Paper Example In the United States, checks and balances prevent any branch from accumulating too much power, hence encouraging cooperation. According to Kroszner (Para. 9), good corporate governance requires strong executives with an independent mind. Moreover, the Sarbanes –Oxley Act of 2002 applies to all organizations and it entails the requirements for the governance of organizations. The Act requires that management of an organization should certify a company’s financial reports and internal controls too. Despite the United States corporate governance being heavily criticized for the failure of some of major companies like Tyco and WorldCom, the country has improved on its Sarbanes –Oxley Act of 2002. The Sarbanes–Oxley Act promotes accuracy and accessibility of information, whereby investors are required to reveal the company’s transaction. The Act also involves penalties for those violating regulations; for instance, a maximum of 20 years in prison for fra ud rather than a five-year sentence. Corporate governance entails the controlling and directing of companies in a direction of fairness, accountability, and transparency. Below are checks and balances within the corporate governance of the United States. ... ct fosters the principle of accuracy and accessibility whereby, it requires the revealing of company’s stock after the second day of transaction by its directors and principal investors. This fast revelation of the company’s stock makes it easier for the outsiders interested in the company. Failure to abide by the laws of this Act; a person is liable to 20 years of imprisonment. This act is aimed at creating quality standards for corporate governance, which managers and auditors must abide by. Management accountability The Sarbanes –Oxley Act fosters management accountability, hence preventing issues of fraud and the blame game. A corporate fraud task force was established in 2002 with an aim of curbing fraud in organizations. Accordingly, the managing directors and officers must certify the accuracy of their company’s financial reports. The Act requires a total of $1million for any officers who knowingly engage in false certification of financial reports. Auditor independence Auditors are limited to false and careless financial reports. However, this Act makes it difficult for managers to select and compensate an external auditor. The choice of an auditor is now made by the committee of independent directors who are not employees of the organization, hence being not related to the company. A new audit partner is required to be assigned to each client account. In addition, the government has formed the Public Company Accounting Oversight Board, with an aim of monitoring and enforcing the supply of audit services. Moreover, accounting firms are required to register with the oversight board, submit their periodic performances, and abide to the rules and regulations of the board (Kroszner (Para. 20). The Sarbanes –Oxley Act ensures that rules are followed to the

Research Paper on Employment Law Essay Example | Topics and Well Written Essays - 3000 words

Research Paper on Employment Law - Essay Example Firstly, my paper endeavours to explain the concept of dispute between employer and employee; and the reasons that cause them. Next, the intervention of Employment Law and the existence of the Employment Contract is explained, in the context of the rights and duties prescribed to the employers and employees. Further, moving on to Collective Dispute and Bargaining, a clear distinction is brought about between the concept and that of Individual Dispute and Bargaining, with reference to the Employment Law. The paper attempts to point out that the Employment Law has supported Individual Bargaining. A final conclusion supporting the fact that the Law succeeds in supporting the resolution of Individual Disputes and Bargaining to a greater degree, than that of Collective Bargaining. It is but natural that when numerous individuals come together with different sets of values and temperaments. More importantly, it occurs between employers and employees due to varied reasons, such as difference in viewpoints and opinions, expectations, terms and conditions; and the output generated. Here is an analyses of the varied causes that could lead to the employer-employee dispute and conflict. Poor Communication: One of the prime causes for the disputes that arise between employers and employees, is poor communication. When one or both the parties are not explicit or detailed and clear in their expression of a certain idea or expectation, it perhaps does not reach out to the other party. Thus, when a task or a certain order is not completed as desired due to miscommunication, it can cause disputes. For instance, when the company policy is not spelled out in detail and when the employee goes against the provisions, it can cause quite a ruckus within the company. This is also seen in the case of rather vague and ambiguous clauses in the Employment Contract, which is explained later in the paper. This can cause good amount of chaos. Resources: The resources provided in an organisation could not be up to the expectations, which could be another cause for a dispute. The scarcity or lack of resources and the prevalence of improper working conditions could trigger off a dispute. For instance, long working hours and going beyond the maximum of 48 hours per week, without optimum payment could be an the cause for an impending dispute. Differing Interests and Values: Another potent cause for the employer-employee dispute could be the differences in perception or comprehension; due to a variation in the vision of the final outcome or the interest vested by both parties in

Citizen Kane Essay Example | Topics and Well Written Essays - 1000 words

Citizen Kane - Essay Example The key aspect of Kane's character contribution to the tragedy plot lies in his character flaw. This is of pivotal significance in the plot propagation as it triggers the cause and effect set of events that will evoke pity and fear in the audience. Kane’s tragic flaw lies in his failure to grow and mature into a responsible man. The elements of his flaw are embodied in his failure to manipulate his charm and panache to materialise into something feasible in his quest for happiness. His flaw is also heightened in his selfishness reflected in his insatiable desire for women. He collects wives, possessions and animals in his pleasure dome but never gets the satisfaction that he longs for. The protagonist character flaw is one fundamental of the Aristotelian philosophy of tragedy. This aspect on Kane is well enunciated by Peter J Pullicino ( Critically Appraise Citizen Kane as Cinema:2008 ). â€Å"Even a cursory summary of the fragments leads us to an imposing list of contradictio ns: Kane is the dashing hero and a grotesque tyrant, an idealist and a cynic, and egotist and a defender of the common man, a child who never grew up, and a man who never had a childhood†¦".

Paragraph Essay Example | Topics and Well Written Essays - 250 words - 1

Paragraph - Essay Example Best Buy’s trip to Memphis encourages racial diversity among managers and employees through immersion, encouraging them to observe the strengths and weaknesses of other managers and employees that they could use to improve their own services. Learning from a wider variety of racial mixture gives managers the chance to widen their scope of observation as well especially when it comes to preferences, attitudes and customer service desired. Seeing other people do their responsibilities in a setting where racial and gender diversity is encouraged will also benefits the managers and employees by letting them see that there is no harm in showing their true natures. That, they do not have to pretend to be somebody they are not only to impress other people, which could be limiting their ability to perform well in their workplace. Diversity also encourages people to work together in unity regardless of gender and race. This eventually promotes a safer and more comfortable atmosphere fo r customers. Such a welcoming mood increases customers visiting the place which would mean higher sales and therefore, higher bottom lines.
